1.3. The Client's Acceptance must be full and unconditional. If the Client expresses Acceptance with reservations (comments, suggestions), it is still considered full and unconditional if they fulfill the conditions of clause 1.2.3 of this Offer.

2. Subject of the Offer

2.1. The Contractor undertakes to perform the following Work for the Client based on their task and in accordance with the terms of this Offer:

2.4. If the Parties fail to agree on the terms of the Work as described in clause 2.3 of the Offer, the Contract is not considered concluded, despite the Client's Acceptance of this Offer.

3. Rights and Obligations of the Parties

3.1. The Contractor undertakes to:

3.1.1. Promptly inform the Client about the progress of the Work and show intermediate results at the Client's request.

3.1.2. Perform the work with high quality, in full compliance with the terms of this Offer.

3.2. The Contractor has the right to:

3.2.1. Postpone starting the Work until the advance payment from the Client is received, as per clause 4.2 of the Offer.

3.2.2. Involve third parties to perform the Work. The Contractor remains responsible to the Client for any third-party compliance with the terms of this Offer.

3.2.3. Terminate the Offer without any compensation to the Client if the Contractor waits more than 14 (fourteen) calendar days for the Client’s feedback, suggestions, or other reactions. In this case, the Contractor’s obligations will be considered fully and properly fulfilled.

3.2.4. In exceptional cases, refuse to show the Client an intermediate result of the Work if the Contractor believes it might lead to a biased assessment of the current progress.

3.2.5. Use the Client’s company name (or other trade name), logo, and trademark, as well as the result of the completed Work, and publish this information individually or together on the Contractor's Website based on whichever of the following occurs first:

3.2.5.1. With the explicit consent of the Client;

3.2.5.2. If the Client themselves makes the result of the Work public;

3.2.5.3. Upon the expiration of six months from the date the result of the Work is delivered.

3.2.6. Place the credit "Design and development by [product type]" and a logo Alexander Glazunov's logo on the result of the completed Work, provided they do not visually conflict with or distract from the key design elements. If the result of the Work is a website, the text and logo mentioned above may (at the Contractor's discretion) serve as active links to the Contractor's website: https://glazunov.am.

3.3. The Client undertakes to:

3.3.1. Pay for the Work performed by the Contractor in full and on time.

3.3.2. Provide the Contractor with the information, documents, and other materials necessary for the high-quality performance of the Work. The Client must provide these materials within 3 (three) working days of the Contractor's request.

3.3.3. Accept both intermediate and final results of the Contractor's Work.

3.4. The Client has the right to:

3.4.1. Demand a refund of the advance payment in the following cases:

3.4.1.1. If there is no request for materials and/or data, and the Contractor fails to provide the first design draft (or other intermediate result) within 14 (fourteen) calendar days of receiving the advance payment;

3.4.1.2. If there are no additional requests for materials and/or data, and the Contractor fails to make the necessary changes or corrections to the design draft (or other intermediate result) within 14 (fourteen) calendar days of receiving the Client's feedback.

4. Payment Terms

4.1. The Client pays for the Work by transferring funds to the Contractor’s bank (personal) account using the details listed on the Contractor’s Website. Payment must be made within 3 (three) working days of the Contractor issuing an invoice or explicitly providing the relevant payment details, in the currency offered by the Contractor at the official exchange rate at the time of payment.

4.2. The Client undertakes to pay a 70% (seventy percent) advance of the total cost of the Work within 3 (three) working days of Accepting this Offer and agreeing on a specific Order. The remaining 30% (thirty percent) must be paid no later than 3 (three) working days from the moment the Work is considered completed according to Section 5 of this Offer.

4.3. An advance payment can only be refunded if the refund request is made before the Contractor actually begins the Work, or in the cases specified in clause 3.4.1 of this Offer. In all other cases, the advance payment is non-refundable.

5. Work Acceptance Procedure

5.1. The Contractor provides the Client with an intermediate result of the Work in the form of a design draft (or other result) via email, screen demonstration, or any other method convenient for the Client.

5.2. After reviewing the design draft, the Client has the right to reject it. The Client may reject the Contractor's proposed drafts up to two times, effectively reviewing three different design concepts at no additional cost. Creating a fourth and any subsequent drafts requires additional payment, the amount and procedure for which are agreed upon separately by the Parties. The Client may leave an unlimited number of comments and suggestions on intermediate drafts, provided these comments do not lead to a fundamental change in the proposed design.

5.3. The agreed (final) design version (sketch) is approved by the Client through consent expressed in a free but unambiguous form, sent to the Contractor via any method agreed upon by the Parties (any type of messengers, social media correspondence, voice messages).

5.4. If the Client does not provide any comments or suggestions within 3 (three) working days after being sent an intermediate or final design draft, the draft is considered accepted by the Client, and the Contractor's Work is deemed properly completed.

5.5. Within 5 (five) working days after the Client fulfills their payment obligation under clause 4.2 of the Offer, the Contractor undertakes to send the Client the files containing the results of the Work in formats suitable for their intended use as specified in the Task.

6. Intellectual Property

6.1. The exclusive right to the result of the Work (means of individualization of a legal entity, product, or service) is transferred to the Client along with the final files.

6.2. The Contractor retains the right to use the result of the Work for display in their portfolio on their Website, as well as for other purposes not related to transferring the result to third parties (a simple non-exclusive license).

7. Warranties and Liability

7.1. The Contractor guarantees:

7.1.1. The quality of the completed Work;

7.1.2. The storage of the final files containing the result of the Work for 3 (three) months from the date of acceptance;

7.1.3. That the Contractor will not infringe on the intellectual property rights of others while performing the Work. However, the Contractor cannot guarantee that an existing registered trademark/service mark will not pose an obstacle to registering a trademark/service mark created as a result of the Work. Should third parties make claims against the Client regarding intellectual property rights to the completed Work, the Contractor undertakes to support the Client in potential out-of-court and court disputes and provide necessary informational assistance.

7.2. The Client guarantees that the materials they provide for the Work are free from any third-party claims and/or that the Client holds all necessary permissions from authors and other rights holders, and that these permissions will not hinder the Contractor's use of the materials. If claims or lawsuits are brought against the Contractor regarding third-party IP violations connected to the Client's materials, the Client undertakes to settle such claims or take other necessary actions to protect the Contractor from costs and losses. If the Contractor incurs any costs or losses, the Client must reimburse them in full.

7.3. If the Client fails to pay the Contractor on time according to Section 4 of this Offer, the Contractor has the right to charge and collect a late fee from the Client equal to 1% (one percent) of the total Contractor fee for each day of delay.

7.4. If the Contractor fails to deliver the result of the Work within the deadlines agreed upon under clause 2.3 of this Offer for reasons within their control, the Client has the right to charge and collect a late fee from the Contractor equal to 1% (one percent) of the total Contractor fee for each day of delay.

7.5. The Contractor is not liable for:

7.5.1. Any errors, including spelling mistakes, if they were present in the intermediate and/or final result of the Work approved by the Client;

7.5.2. Any damages or losses incurred by the Client arising from the use of the completed Work, unless otherwise provided by current Russian legislation.

7.6. Under no circumstances will the Contractor be liable for the Client's losses related to the use of third-party technologies, components (including software), or other developments within the final Work, nor for losses caused by unauthorized third-party interference with the Work and/or its Result without the Contractor's consent.

7.7. Neither Party is liable for total or partial failure to fulfill their obligations under this Offer if the failure results from force majeure circumstances beyond their control. The Party unable to fulfill its obligations due to force majeure must notify the other Party no later than 5 (five) days after these circumstances arise. Failure to notify, or delayed notification, strips the affected Party of the right to cite force majeure as grounds for exemption from liability.

7.8. In the event of a documented illness (including, but not limited to, a sick leave certificate, medical record extract, doctor's referral, etc.) of one of the Parties or their key personnel that prevents the fulfillment of obligations under this Offer, that Party is temporarily exempt from liability for missed deadlines. In such cases, the deadlines for fulfilling obligations (including completion, acceptance, provision of materials, or payment) are automatically and proportionally extended for the period of illness and recovery. The affected Party must notify the other Party no later than 5 (five) days from the onset of the illness.

8. Confidentiality

8.1. The Parties recognize any information regarding the contents of this Offer, as well as electronic correspondence and verbal negotiations concerning the Work, as a trade secret. They undertake to strictly maintain its confidentiality and not disclose it to third parties without prior written consent from the other Party, except when disclosure to relevant government authorities is required by law. This provision does not apply to publicly known or publicly available information. The Parties agree that if the Contract concluded under this Offer is terminated for any reason, this clause will continue to operate as a separate, indefinite confidentiality agreement between the Client and the Contractor, deemed concluded on the day of the Offer's Acceptance.

9. Final Provisions

9.1. The Contract for the performance of Work, concluded under the terms of this Offer, enters into force at the moment of the Client's Acceptance and remains valid indefinitely.

9.2. The Parties agree that the specific terms of each Task, agreed upon in Requests via email (or other correspondence), take precedence over the general terms regulating the same relationship in this Offer. If the terms for a specific aspect or Task are not defined in the correspondence or this Offer, the Parties will be guided by current Russian legislation.

9.3. If any provision of this Offer is found to be invalid by law, it will be considered excluded from the Offer, while the remaining provisions will retain their full legal force.

9.4. The Parties recognize the legal validity of texts sent to each other via email and other written communication channels (any type of messengers, social media correspondence), as well as email attachments and files transferred via messengers and social networks, as equal to documents executed in simple written form. In the event of court disputes, the Parties agree to recognize such correspondence as sufficient evidence.

9.5. If a Party changes its legal status, address, bank account, or other details, it must notify the other Party within 3 (three) calendar days of the change. Until such notification is received, all transactions completed using the old details are considered properly executed.

9.6. From the moment of the Client's Acceptance, this Offer supersedes any prior agreements (including previous correspondence) between the Parties.
